Terms & Conditions of Service

1. Service Agreement

By hiring my services, you agree to:

• Provide clear project specifications, including technical requirements, expected functionality and relevant documentation.
• Payments are governed by the conditions established in the signed or written-accepted quote.
• I work individually or as a team depending on project complexity, always keeping the same quality standards.
• I do not develop +18/NSFW content under any circumstance. Inappropriate requests will be rejected immediately and may result in contract termination without refund.
• Provide timely feedback during development to avoid unnecessary delays.
• Respect the agreed delivery times and understand that significant requirement changes may extend those deadlines.

2. Payments and Refunds

Payment structure

• Upfront fees: A non-refundable deposit between 50%-70% of the total cost is required to start the project.
• Final payment: Must be completed before delivery of the full product. No final files are delivered without full payment.
• Accepted payment methods: Bank transfer, PayPal, cryptocurrency (subject to availability) or other previously agreed methods.
• No refunds once work has started, except under the conditions described in the refund policy.
• Post-delivery changes: Any modification requested after final delivery will be quoted as a new project.
• Late payments: If the final payment is not received within 7 days after the completion notice, I reserve the right to suspend delivery.

3. Intellectual Property and Copyright

License types

• Personal License: Internal use exclusively for the client or their organization. Redistribution, sale or transfer to third parties is prohibited.
• Commercial License: Use inside the client's commercial products. Reselling the code as a standalone product is prohibited.
• Full Rights License: Total transfer of rights. Significantly higher cost; must be explicitly specified in the contract.

Absolute prohibitions

• Removing, modifying, hiding or altering comments, credits, digital signature or authorship marks present in the source code is prohibited.
• Console credits (console.log, print statements) are MANDATORY and CANNOT BE REMOVED.
• Presenting yourself as the creator, developer or original author of the acquired code is prohibited.
• Redistributing, selling or sharing the code without written authorization is prohibited.
• Reverse engineering with the purpose of removing protections, credits or tracking systems is prohibited.

Consequences of violation

• Immediate legal notice (Cease & Desist). Compliance window: 72 hours.
• Permanent revocation of the usage license with no right to refund.
• DMCA claims filed with platforms (GitHub, Roblox, Steam, etc.).
• Civil legal action for copyright infringement under Peruvian law and international treaties.

4. Technical Support and Warranty

What support covers

• Limited technical support for 30 calendar days after final delivery.
• Fixes for critical bugs that prevent features agreed in the original contract from working.
• Minor compatibility adjustments exclusively for the technical environment originally specified.
• Basic guidance for initial implementation and installation via email or Discord.

What support does not cover

• Client-side hardware or software problems.
• Untested environments or beta versions of platforms.
• Unauthorized modifications made by the client or third parties.
• New features not included in the original scope.
• Requests outside the 30-day window.

5. Confidentiality and Data Protection

• All project details are treated with strict confidentiality.
• I will not disclose project information on social media or marketing materials without prior written authorization from the client.
• The client agrees not to disclose proprietary technical methods or specialized algorithms developed by Panda Studio to third parties or competitors.

6. Limitation of Legal Liability

Panda Studio is not responsible for: indirect economic losses, product misuse, third-party cyberattacks, changes on external platforms, or force majeure events.

In any legal dispute where Panda Studio is found liable, the maximum compensation will be equal to the total amount paid by the client for that specific project.

7. Contract Termination

By Panda Studio

I can cancel a project immediately and without refund if the client does not provide critical information, fails to pay, requests illegal modifications, or exhibits abusive behavior.

By the client

• Cancellation before starting: 70% refund of the initial deposit.
• Cancellation at 0%-50% completion: No deposit refund.
• Cancellation at 50%-100% completion: No refund. 100% payment required to receive the code in its current state.

8. Dispute Resolution and Jurisdiction

Before any formal dispute, the client must contact pandacyd.developer@gmail.com or pandacyd.programmer@gmail.com and allow 5 business days for a response.

Exclusive jurisdiction: Courts of Lima, Peru. Applicable law: Peruvian legislation (Legislative Decree No. 822, Civil Code, Law No. 29733) and international treaties under the Berne Convention and WIPO.

9. Acceptance and Consent

By making any payment, signing a quote, or using the delivered code, the client confirms having read, understood and fully accepted these Terms and Conditions.
